Refund Policy

Effective Date: 01 March 2026

This Refund Policy applies exclusively to business-to-business (B2B) commercial transactions conducted by TRADIFY GENERAL TRADING CO. L.L.C. All refunds, credits, or financial adjustments are governed strictly by the terms of the executed contract between the parties.

1. B2B Scope

Tradify operates exclusively in a B2B capacity. We do not provide consumer-facing services and no statutory consumer refund rights apply.

All refund rights arise solely from signed commercial contracts.

2. Contractual Governance

Refunds, credits, cancellations, or compensation are governed strictly by:

  • The executed sales contract
  • Agreed commercial terms
  • Applicable UAE commercial law

In the absence of a signed contract, submission of an RFQ or preliminary negotiation does not create any refund obligation.

3. Eligibility for Refund or Credit

A refund or credit may be considered only where:

  • A contractual breach is established
  • Quality or quantity discrepancy is verified under agreed inspection terms
  • Force majeure provisions trigger contractual adjustment
  • The contract explicitly permits refund or price adjustment

All claims must comply with contractual notice periods and evidentiary requirements.

4. Dispute-Based Claims Procedure

A counterparty seeking a refund or credit must:

  • Submit written notice
  • Provide supporting documentation
  • Reference the applicable contract clause
  • Comply with agreed dispute resolution procedures

Tradify will review claims in good faith within a commercially reasonable timeframe.

5. Financial Settlement Method

Where a refund or credit is contractually approved, settlement may occur through:

  • Direct bank transfer
  • Credit note issuance
  • Price adjustment in subsequent transactions
  • Other mutually agreed commercial mechanisms

Refund timing and currency will follow the contract terms.

6. Force Majeure

Refund obligations may be suspended or adjusted where performance is impacted by force majeure events including:

  • Government restrictions
  • Trade embargoes
  • Port closures
  • Transportation disruptions
  • Natural disasters
  • War or civil unrest

All force majeure handling shall follow the contract provisions and applicable law.

7. Limitation of Liability

Refund entitlements are limited to the scope expressly defined in the executed contract. Tradify shall not be liable for indirect, consequential, incidental, or punitive damages unless explicitly agreed in writing.

8. Governing Law

This Refund Policy and any related disputes are governed by the laws of the United Arab Emirates.

9. Dispute Resolution

Disputes shall be resolved in accordance with the dispute resolution mechanism defined in the signed contract. Where silent, jurisdiction shall lie with the courts of Dubai, United Arab Emirates, unless arbitration is mutually agreed.

10. Policy Updates

Tradify reserves the right to update this Refund Policy. Updated versions will be published on this page with a revised effective date.
